2. Accounts

Users may access and use the web version of Cmsell without registering an account. Any user who accesses, browses, or uses the Cmsell website is deemed to have agreed to comply with the terms of this Agreement.

If a user also uses a Cmsell account, they must meet the following conditions and hereby represent and warrant that:

They are at least thirteen years of age;
They are not currently restricted or prohibited from using any Cmsell services;
You are not a competitor of Cmsell and shall not use the account or services for any purpose that competes with Cmsell;
Possess full legal capacity and authority to accept this Agreement (including, if acting on behalf of an individual or entity, the necessary authorization), and that accepting this Agreement does not violate any other agreements entered into with third parties;
Do not infringe upon any of Cmsell’s legitimate rights and interests, including but not limited to copyrights, trademark rights, and other intellectual property rights;
Agree to bear all costs associated with the equipment, software, and internet access required to use the Cmsell website and services.

3. Posting Content on the Website (UGC Policy)

3.1 User Content and Responsibility

You may post, upload, or display text, images, audio and video files, links, comments, profile pictures and usernames, tags, and AI-generated or synthesized content (collectively referred to as “User Content/UGC”) on the website.

You are solely responsible for all legal liabilities related to User Content, including its legality, accuracy, and non-infringement. User Content on the website represents only the personal views of the poster and does not reflect the position of Cmsell.

3.2 Prohibited Content (Examples are not exhaustive)

You agree not to post, disseminate, or store the following content on the Cmsell website or related services:

Any content that violates laws and regulations, or encourages others to commit illegal acts;
Content containing harmful information such as obscenity, pornography, violence, hate speech, terrorism, extremism, discrimination, or harassment;
Content containing defamation, insults, false statements, misleading information, or fraudulent acts;
Content that infringes upon the legitimate rights and interests of any third party, including but not limited to intellectual property rights such as copyrights, trademarks, patents, and trade secrets;
Content that infringes upon the privacy or personal rights of others, including the unauthorized disclosure of personal identifying information (such as facial images, addresses, contact information, license plate numbers, etc.);
Content containing sensitive or harmful material unsuitable for minors;
Content containing malicious programs, phishing links, fake traffic, traffic manipulation, or fraudulent transactions/ratings;
Unauthorized advertising, promotions, QR code redirects, proxy purchasing, recruitment, or any content intended for profit;
False, exaggerated, or unsubstantiated claims regarding efficacy or benefits in high-risk fields such as healthcare and finance;
Other acts that disrupt community order, impair user experience, or constitute improper use of Cmsell services.

3.3 Special Rules for Images and Videos

Source of Rights: Users may only upload content that they have created themselves or for which they have obtained legal authorization. Users must not reproduce, without authorization, images, videos, or other materials from brand official websites, e-commerce platforms, other users’ social media accounts, or any other copyright-protected sources.
People and Privacy: If identifiable individuals appear in the content, users must ensure they have obtained the explicit consent of those individuals; if minors are involved, written consent from their legal guardians must be obtained. It is strictly prohibited to upload content containing personal privacy or sensitive information, such as ID documents, addresses, or contact details.
Trademarks and Appearance: Users must not mislead the public in any way, creating a false impression of official cooperation, endorsement, or affiliation with any brand, organization, or individual.
Metadata Security: Before uploading, users must ensure that EXIF or other metadata containing sensitive information, such as geolocation data, has been removed.
AI Content: Any content created using generative artificial intelligence must be clearly labeled as “AI-generated” or “AI-synthesized.” Users must not impersonate, mislead, or falsely claim to be another person, organization, or source.
Copyright Exceptions: Even if the content falls under the legal doctrine of “fair use,” it may not be uploaded or redistributed without authorization. Users are solely responsible for all legal liabilities arising from the content they upload.

3.4 Licence Grant (For Service Operation)

In order to provide, operate, and improve Cmsell’s various services, you grant Cmsell a worldwide, non-exclusive, royalty-free, sublicensable right, within the scope of the Services, to use, copy, adapt, display, distribute, and back up the User Content you upload or post. This license is limited to what is necessary for the operation of the Services and does not constitute a transfer of ownership of the content.

3.5 Moderation and Enforcement

Cmsell reserves the right, in accordance with applicable laws and the terms of this Agreement, to:

review, remove, or block any user content suspected of violating rules, infringing on rights, or being inappropriate;
restrict the functionality or access privileges of the relevant account;
suspend or terminate the account of users who repeatedly violate the rules.

Cmsell will, within reasonable limits, strive to balance users’ freedom of expression with the maintenance of platform order and the protection of the legitimate rights and interests of others.

4. Offers

The website will present users with third-party coupons, deals, advertisements, and other offers (hereinafter collectively referred to as “Offers”). Offers consist of products and services provided by third parties (hereinafter collectively referred to as “Sellers”). If a user chooses to accept an Offer, it shall be deemed that a transaction has been entered into with the Seller. Cmsell is not a party to the transaction and therefore assumes no liability for transactions between users and Sellers. Cmsell is not responsible for the fulfillment of any Offers.

To the fullest extent permitted by law, Zhonggong Manufacturing makes no representations or warranties of any kind, express or implied, regarding the website, including but not limited to implied warranties of merchantability and fitness for a particular purpose, as well as any implied warranties arising from course of dealing or course of performance. Users hereby agree that Zhonggong Manufacturing shall not be liable for any costs or damages arising from disputes between users and any seller, and users hereby waive the right to make such claims against Zhonggong Manufacturing and its shareholders, officers, directors, employees, parent companies, subsidiaries, agents, and representatives. Zhonggong Manufacturing makes no representations or warranties regarding any goods or services provided by sellers or suppliers. Furthermore, Zhonggong Manufacturing does not guarantee that access to the Website will be uninterrupted or error-free, and shall not be liable for any losses or damages incurred by the User as a result of accessing or being unable to access the Website (including, but not limited to, losses or damages resulting from the User’s inability to enjoy discounts or use coupons when purchasing items from participating Sellers). The User agrees to indemnify and hold harmless Zhonggong Manufacturing, its parent company, subsidiaries, affiliates, officers, directors, and employees from any claims or demands made by any third party arising out of the User’s use of the Website and Forums, the User’s breach of the terms and conditions of this Agreement, or the infringement by the User or any other user of the User’s account of any intellectual property rights or other rights of any person or entity, or any claims or demands arising from any member’s communications containing any threatening, defamatory, obscene, plagiarized, or infringing material in any member communication, including reasonable attorneys’ fees and expenses.

5.3 Amendments

The “Terms and Conditions” of this Agreement are subject to change at any time; Zhonggong Manufacturing will post any changes on this page. Users agree to be bound by all of the aforementioned “Terms and Conditions,” including any updated terms and conditions. Zhonggong Manufacturing assumes no liability for any consequences resulting from a user’s failure to review such changes. Users should visit this page periodically to determine whether this Agreement has been modified or amended. If a user does not agree to any modification of this Agreement, the user must immediately terminate their username, password, and registration, and cease using the registered account.

5.4 Compliance with Laws

Users agree to comply with all applicable laws, rules, and regulations. Users may participate in the Website to the extent permitted by such laws, rules, and regulations. If any of the following circumstances apply to a user, Zhonggong Manufacturing reserves the right to refuse registration or to restrict, modify, or terminate the user’s username, password, and registration, without incurring any liability to the user or any third party: the user violates any laws, rules, or regulations; or the user’s participation may result in a violation of any laws, rules, or regulations.

5.5 Intellectual Property

The User hereby acknowledges that the content of the Website, including but not limited to text, audio, images, graphics, and other materials, as well as services and software provided by Zhonggong Manufacturing, its advertisers, distributors, or other related parties, is protected by copyright, trademark, service mark, patent, and/or other proprietary rights and laws. The User may use such content, services, or software only after obtaining express authorization from Zhonggong Manufacturing, its advertisers, distributors, or other related parties. The User hereby acknowledges that all intellectual property rights in the Website are owned by Zhonggong Manufacturing or its licensors. The provision of the Website shall not be construed as a transfer of any rights, title, or interest in such intellectual property to the User or any third party.

5.6 Privacy

We process personal data and use tracking technologies in accordance with our Privacy Policy.
Contact information, evidence, logs, and processing records generated during reporting, complaint resolution, and content moderation processes are retained only for as long as necessary to fulfill legal obligations, resolve disputes, and conduct compliance audits; they will be deleted or anonymized thereafter.

6. Notice of Rights—Resolution and Appeal Mechanism

6.1 Legal Framework & Role

As an information society service provider and hosting service provider, Cmsell has established a notice-and-takedown mechanism in accordance with UK regulations on online operations and e-commerce requirements.
Key point: Promptly removing or restricting access upon receipt of a valid notice can serve as a crucial basis for the platform’s liability exemption or defense.

6.3 Our Response

Cmsell will evaluate the notification based on its urgency and the type of content. We will take appropriate measures and, where applicable, send the uploader a “Statement of Reasons” and information regarding the appeal process.

6.4 Appeals & Review

Affected users may file an appeal within 14 days via email (info@cmsell.com) or through the in-app feedback channel. We will review the case, and if the content was removed in error, we will restore it.

6.5 Repeat Infringer Policy

Accounts found to have committed two or more confirmed violations—or one serious violation—may be suspended, banned, or terminated. Device or IP restrictions may be imposed. When necessary, we will cooperate with rights holders and relevant authorities.

6.6 Abuse of Reporting

We reserve the right to restrict the reporting functionality for users who submit malicious or clearly baseless complaints.

7. Platform Communications

Unless otherwise required by law, you agree to receive all notices related to this Agreement via website banners, inbox messages, pop-up windows, or the email address you have provided.

8. Credit Card Disclosures

Some promotional activities involve financial relationships with credit card issuers. Cmsell does not act on behalf of such issuers and has not been endorsed by them. The views expressed herein do not represent or reflect the opinions of any credit card provider.

9. Suspension & Termination

We may suspend or terminate your account for any reason or for no reason at all. Reasons for suspension or termination may include a violation of the Terms and Conditions, causing liability to other users of the website, or failure to use the account.
Any violation of the terms and conditions of this Agreement will result in the termination of the username, password, and registration.
If a user account remains inactive for twenty-four (24) consecutive months or is involved in any illegal activity, Zhonggong Manufacturing reserves the right to terminate the relevant username, password, and registration.

10. Waiver Clause

Any failure by Zhonggong Manufacturing to exercise any rights under this Agreement or to enforce any provision of this Agreement shall not constitute a waiver of such rights or provisions.

11. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Internet. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the local courts of Zhonggong Manufacturing, the parent company of Cmsell (without prejudice to your mandatory rights as a consumer in your place of habitual residence).

12. Severability

If any provision of this Agreement (or any part thereof) is held to be invalid, illegal, or unenforceable, such provision shall be ineffective only to the extent of such invalidity, illegality, or unenforceability, and shall not affect the validity or enforceability of the remaining provisions of this Agreement. To the extent permitted by applicable law, the parties hereto hereby agree to waive any legal provisions that would render any provision of this Agreement invalid, illegal, or unenforceable in any respect.
